In this master thesis „Individual and Derivative Shareholders' Actions in Directors' Civil Liability Cases“ are analysed civil liability of directors‘ realization by direct and derivative shareholders‘ actions. The conception of direct and derivative action is discovered. The implementation of direct suits in Europe and United States is analysed on purpose to determine the conditions of directors‘ civil liability, when a shareholder brings a direct action in Lithuania. Also, in this master thesis the opportunity to bring a direct action in Lithuania is examined, with reference to the case law of foreign countries. This thesis also includes realization of civil liability of directors‘ by derivative shareholder action, discovers the regulation of derivative action in other countries and also analyses the legal gaps in Lithuania. Furthermore, the factors causing unpopularity of derivative action are examined. |
